These Terms of Service ("Terms") govern access to and use of HubGate and related services operated by HubGate LLC ("HubGate", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. About HubGate

HubGate is a UAE-focused B2B procurement and quotation platform that enables buyers to post quotation requests (RFQs) and suppliers to submit quotations. HubGate provides a platform for business discovery, quotation exchange, and communication, but is not the buyer, seller, manufacturer, distributor, shipper, payment processor, or contracting party in transactions between users unless expressly stated otherwise.

2. Eligibility and Business Use

HubGate is intended for business and commercial use only. By using the Platform, you represent and warrant that you are acting on behalf of a business, commercial enterprise, or other organization, or that you are otherwise authorized to act for such an entity where applicable. You must be legally capable of entering into binding agreements under applicable law.

3. Accounts and Company Information

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information, including company details, contact information, and any trade license or verification-related information submitted through the Platform.

You must promptly update your information if it changes. You may not impersonate any person or company, create misleading accounts, or submit false company information.

4. Verification and Trust Signals

HubGate may review company information and may display verification statuses, badges, or levels based on information submitted to us or reviewed by us. These trust signals are intended to support business confidence, but they are not a guarantee of identity, authority, creditworthiness, product quality, service quality, legal compliance, payment, delivery, or transaction performance.

All users remain responsible for conducting their own due diligence before entering into any business relationship or transaction.

5. RFQs and Quotations

Buyers are responsible for ensuring that RFQs, specifications, quantities, timelines, and other requirements are accurate and submitted in good faith. Suppliers are responsible for ensuring that quotations, prices, availability, delivery terms, product descriptions, and other responses are accurate and submitted in good faith.

Submission of an RFQ, quotation, acceptance signal, or communication through the Platform does not by itself create a final sales contract between users unless the relevant parties separately agree to contract terms.

6. Fees and Pricing

Buyers may use certain HubGate features without charge where such access is stated on the Platform. Suppliers may be charged a fixed, non-refundable fee when a buyer accepts a quotation and the supplier chooses to unlock the buyer's contact details or equivalent lead access.

Unless expressly stated otherwise, HubGate does not charge commission based on the value of transactions completed between users. We may update pricing, access models, or paid features from time to time by updating the Platform or related pricing pages.

7. Transactions Between Users

HubGate is not a party to contracts, negotiations, invoices, deliveries, warranties, inspections, returns, or payment arrangements between buyers and suppliers. Users are solely responsible for evaluating one another, negotiating commercial terms, complying with applicable laws, and documenting their own agreements.

HubGate does not guarantee that a buyer will place an order, that a supplier will fulfill an order, that goods or services will match expectations, or that payment or delivery will be made or completed successfully.

8. User Responsibilities

You agree to use the Platform lawfully, honestly, and in a commercially reasonable manner. You are responsible for ensuring that your content, conduct, quotations, RFQs, claims, and communications are lawful, accurate, and not misleading.

You are also responsible for compliance with all applicable laws and regulations in connection with your use of the Platform and any transactions arising from that use.

9. Prohibited Conduct

You must not:

  • use HubGate for unlawful, fraudulent, deceptive, or misleading purposes;
  • submit false RFQs, false quotations, or false company information;
  • impersonate another person, business, or authorized representative;
  • interfere with the normal operation or security of the Platform;
  • scrape, harvest, extract, or collect data from the Platform without authorization;
  • send spam, abuse messaging features, or misuse buyer or supplier information;
  • bypass pricing, lead-unlock, or access controls implemented by HubGate.

10. Content and Intellectual Property

You retain responsibility for the content and information you submit to the Platform. By submitting content, you grant HubGate a non-exclusive right to host, store, reproduce, process, display, and use that content as necessary to operate, improve, secure, and promote the Platform.

The Platform, including its branding, software, design, content arrangement, and related materials, is owned by HubGate or its licensors and may not be copied, reproduced, distributed, or exploited without permission except as allowed by law.

11. Suspension and Termination

We may suspend, restrict, or terminate access to the Platform, or remove content, quotations, RFQs, or company profiles, at our discretion where we believe there has been a breach of these Terms, suspicious activity, non-payment of applicable fees, fraud risk, misuse of the Platform, legal risk, or any conduct that may harm HubGate or its users.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, HubGate disclaims all warranties, representations, and guarantees, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or reliability.

HubGate does not guarantee uninterrupted access, successful sourcing outcomes, response rates, transaction completion, user conduct, or the accuracy of information submitted by other users.

13. Limitation of Liability

To the fullest extent permitted by law, HubGate and its affiliates, officers, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunity arising out of or related to your use of, or inability to use, the Platform.

HubGate shall not be liable for disputes, losses, non-payment, failed deliveries, product defects, business interruption, or transaction failures between buyers and suppliers.

14. Indemnity

You agree to defend, indemnify, and hold harmless HubGate LLC and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your content, your transactions, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be governed by the laws of the United Arab Emirates. Any such dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

16. Changes to These Terms

We may update these Terms from time to time. Updated Terms will become effective when posted on this page, unless a different effective date is stated. Your continued use of the Platform after updated Terms are posted constitutes acceptance of those updated Terms.
